Version terms-v1
These terms are the agreement between you and XPLTD AUDIO LLC ("XPLTD Audio", "we", "us") when you use xpltdaudio.com, create an XPLTD Audio account, or install and use our software. Please read them. If you do not agree to them, do not create an account or use the software.
XPLTD AUDIO LLC is a limited liability company organized in Missouri, United States.

These terms cover the website, your account, and our software: the plugins we publish, including Filtra and Filtret, and their updates.
Two other documents apply alongside these terms. Our Privacy Policy, at xpltdaudio.com/legal/privacy, explains what personal data we collect and what we do with it. Our Refund Policy, at xpltdaudio.com/legal/refunds, explains how refunds work. If you take part in an alpha or beta test, the tester agreement you accepted for that test also applies, and where it conflicts with these terms, the tester agreement wins for that test.
You need an account to install and activate our software, including the free products.
Our paid software is sold through a reseller, which acts as the merchant of record. The reseller's name is shown on the checkout page and on your receipt. That means the reseller is the seller on your order: it takes your payment, charges and pays any sales tax or value-added tax that applies where you live, and issues your receipt. The reseller's own buyer terms apply to the payment itself, and you will see them at checkout.
Prices are shown in US dollars on each product's page. Tax is added at checkout where it applies, so the final amount depends on where you live.
When the order completes, the license appears in your XPLTD Audio account.
Our software is licensed to you, not sold. When you buy a product, or take a free one, we give you a non-exclusive, non-transferable license to install and use it, under these terms.
Paid products can be tried free for 14 days. You start the trial yourself from the plugin; it does not start on its own. When 14 days have passed, the trial ends and the plugin goes back to unlicensed mode, described below, until you buy a license.
The plugin checks your license with our server when it is online. If it cannot reach the internet, it keeps working. The only thing that reduces what a licensed copy does is a revocation signed by us.
An unlicensed copy still works, so a project that uses it still opens and plays: it passes audio normally, with a short burst of pink noise every 40 seconds.
We revoke a license when:
A revoked copy goes back to unlicensed mode the next time it connects to our server. Except for a refund or a reversed payment, we will email you before revoking a license and explain why, unless the law or an investigation prevents us.
Anything you create with our software belongs to you. We claim no rights in it and ask for no credit.
You can have a full refund within 14 days of purchase, with no questions asked. The license is revoked when the refund is issued. The details are in our Refund Policy.
We work hard to make the software reliable, but we provide it as it is and as available. To the extent the law allows, we make no promises beyond those in these terms, including any implied promise that it suits a particular purpose.
To the extent the law allows, our total liability to you for any claim about the software or these terms is limited to the amount you paid for the product concerned in the 12 months before the claim. We are not liable for lost profits, lost data, or indirect or consequential losses. These limits do not apply where the law does not allow them.
Nothing in these terms takes away any right you have under the consumer law of the country you live in that an agreement cannot take away.
You can stop using the software and delete your account at any time.
We may suspend or close an account that breaks these terms, after telling you why by email, unless the law or an investigation prevents us. Licenses revoked under "When we revoke a license" end with it; other licenses you have paid for are not taken away because of an unrelated problem with your account.
We may update these terms. Each version is dated and kept, so there is always a record of the text you agreed to. If a change materially affects you, we will email you before it takes effect.
These terms are governed by the laws of the State of Missouri, United States. Any dispute will be handled by the courts of Missouri, unless the law of the country you live in gives you the right to bring it where you live.
Questions about these terms go to support@xpltdaudio.com, or by post to XPLTD AUDIO LLC, PO Box 24, Willow Springs, MO 65793. A person reads and answers every message.
